Auditor - Kanji

An institution within a corporation that supervises the directors' execution of affairs (Civil Code, Article 59). A corporation may have one or more auditors, but unlike directors, they are not required institutions and may be appointed through the articles of incorporation, donation deeds, or a resolution of the general meeting (Civil Code, Article 58). In corporations established under special laws, auditors are usually appointed (Agricultural Cooperative Law, Article 30, etc.). The Civil Code stipulates the duties of an auditor as follows: (1) auditing the corporation's assets, (2) auditing the directors' execution of business, (3) reporting any irregularities found in the status of assets or the execution of business to the general meeting or the competent authorities, and (4) convening a general meeting when necessary to make the above reports (Civil Code, Article 59). In a company, they are called auditors.

法人の内部にあって、理事の事務の執行を監督する機関（民法59条）。法人には1人または数人の監事を置くことができるが、理事のように必須(ひっす)の機関ではなく、定款・寄付行為または総会の決議によって置くことができる（同法58条）。特別法に基づいて設立される法人では、置かれるのが普通（農業協同組合法30条など）。民法は監事の職務を次のように規定した。すなわち、(1)法人財産の監査、(2)理事の業務執行の監査、(3)財産の状況または業務執行につき不整の廉(かど)あることを発見したときは、これを総会または主務官庁に報告すること、(4)前記の報告をなすため必要あるときは総会を招集すること（民法59条）。なお、会社では監査役という。
