Korean Company Law - Chosenkai Sharei

Japanese: 朝鮮会社令 - ちょうせんかいしゃれい

This law was promulgated in December 1910, immediately after the Japan-Korea Annexation, and came into effect in January of the following year. Its official name is the Company Ordinance. It consists of 20 articles, and related implementing rules have been issued. When establishing a company in Korea, or when establishing a head office or branch office in Korea for a company established outside Korea, permission from the Government-General of Korea is required, and unlike the rule-based system for company establishment in Japan, a permission-based system was adopted. Combined with the strictness of its implementation, the ordinance is evaluated as having restricted the establishment of companies in Korea, especially Korean companies, and is sometimes considered a representative example of ethnic discrimination, oppression of ethnic Korean capital, and anti-industrialization policies.

日韓併合直後の1910年12月に公布され，翌年1月に施行された法令。正称は会社令。全文20条からなり，関連施行細則が出されている。朝鮮において会社を設立したり，朝鮮外で設立した会社の本店･支店を朝鮮内に設置する場合，朝鮮総督府の許可をうけることが義務づけられ，会社設立の際の日本国内の準則主義とは異なり許可主義がとられている。運用における厳しさも加わって，同令は朝鮮における会社，とくに朝鮮人会社の設立を抑制するものであったと評価され，民族差別･朝鮮民族資本抑圧･反工業化政策の代表例とされる場合がある。
