A document in which a corporation provides applicants with an explanation of the business and other matters of the issuing company when offering or selling stocks or other securities. It is delivered to the other party or when requested by the other party (Article 2, Paragraph 10 of the Financial Instruments and Exchange Act). When offering or selling securities, which requires the submission of a securities registration statement, the issuer of the securities must prepare a prospectus (Article 13, Paragraph 1). The use of a prospectus that contains false statements or omits information that should be included is prohibited so that investors can make investment decisions based on proper information. In addition, materials other than a prospectus (documents, drawings, etc.) can be used, but in such cases, false or misleading statements must not be made. An issuer or an officer of an issuer who prepares a prospectus that contains false statements is liable for damages to those who acquire securities after receiving the prospectus, and is also subject to penalties.

株式会社が株式などの有価証券の募集，売り出しなどに際し，応募者に対して発行会社の事業その他の事項についての説明を記載する文書。相手方に交付または相手方から請求があった場合に交付する（金融商品取引法2条10項）。有価証券届出書の提出が義務づけられる募集・売り出しに際し，有価証券の発行者は目論見書を作成しなければならない（13条1項）。投資する者が適正な情報によって投資判断ができるように，虚偽の記載や記載すべき内容が欠けている目論見書の使用が禁じられている。また，目論見書以外の資料（文書や図画など）も使用できるが，その場合にも虚偽の表示または誤解を生じる表示をしてはならない。虚偽記載などのある目論見書を作成した発行者あるいは発行者の役員などは，その目論見書の交付を受けて証券を取得した者に対して損害賠償責任を負うほか，罰則が科される。
