In securities terminology, a public offering is a solicitation of applications to acquire newly issued securities when the counterparties are not only qualified institutional investors but also 50 or more people (Article 2, Paragraph 3 of the Securities and Exchange Law), while a secondary offering is a solicitation of applications to purchase already issued securities when the counterparties are 50 or more people under uniform conditions (Article 2, Paragraph 4). Except in cases where the total amount over the past two years is less than 500 million yen, a public offering or secondary offering cannot be made without submitting a securities registration statement and filing it with the Minister of Finance (Article 4, Paragraph 1, Article 5, Paragraph 1).

証券用語で，募集は，新規発行証券の取得の申込みの勧誘で，その相手方が適格機関投資家のみでなく，50名以上の場合等であり(証券取引法2条3項)，売出しは，既発行証券の買付けの申込みの勧誘で，均一の条件で，その相手方が50名以上の場合である(2条4項)。　最近2年間を通算してその金額が5億円未満の場合を除き，有価証券届出書を提出して大蔵大臣に届け出なければ，募集･売出しはできない(4条1項，5条1項)。
