Dismissal negotiation clause

A clause in a labor agreement stipulates that if a company dismisses a union member, it must consult with the union in advance and state the reasons for doing so. A clause stating that the union's consent must be obtained is specifically called a dismissal consent clause. It functions to restrict the abuse of an employer's right to dismiss. There is some debate as to whether it is part of the normative part of the agreement, the obligation part, or something neither, but an institutional part. However, the majority of academic theory and case law holds that dismissals without consultation with the union or without the union's consent are invalid.

会社が組合員を解雇する場合は，あらかじめその事由を示して組合と協議しなければならないとする労働協約中の条項。さらに組合の同意を得なければならない旨の条項を特に解雇同意条項という。使用者の解雇権の乱用を制約する機能をもつ。それが協約の規範的部分に属するか，債務的部分に属するか，またそのどちらでもない制度的部分に属するかについては争いがある。しかし組合との協議を経ない，あるいは組合の同意を得ていない解雇を無効とするのが学説，判例の大勢である。
