A contract that grants permission to another person to use one's trade name to operate a business. There are cases where a person with a business license allows an unlicensed person to use his/her name to operate a business, and cases where a trustworthy person lends his/her name to another person to use his/her trust and reputation. The former is an illegal act under the business license system, and is often prohibited by explicit provisions. Regarding the latter, the Commercial Code stipulates that a merchant is jointly and severally liable with the borrower of the name to repay debts arising from a transaction with a person who mistakenly believes that the merchant is the business owner (Article 14). Similarly, the Companies Act stipulates the liability of a company that grants permission to another person to use its trade name (Article 9), protecting the general public who trade based on trust in appearances. 自己の商号を使用して,営業または事業をすることを他人に許諾する契約。営業免許を受けた者が無免許者にその営業を可能にさせるために名義の使用を認めたり,また信用のある者が他人に自己の信用・名声を利用させるために名義を貸したりする場合などがある。前者については営業免許制度の脱法行為となるので,明文の規定で禁止されている場合が多い。後者について商法は,商人が自己を営業主であると誤認して取り引きをなした者に対し,その取り引きによって生じた債務につき,名義借主と連帯して弁済する責任を負う旨を規定し(14条),また同様に会社法も,会社が自己の商号の使用を他人に許諾した会社の責任を規定しており(9条),外観を信頼して取り引きする一般の人々の保護をはかっている。
