Damage guarantee agreement - Songaitantanpokeiyaku

A contract in which one person (guarantor) promises to indemnify another person (guarantee) for damages incurred in a certain matter. For example, sponsoring a concert and promising to indemnify if losses occur. Unlike a guarantee obligation which is subordinate to the principal obligation, the guarantor has an independent liability to indemnify the creditor. In other words, it does not have a subordinate nature. The guarantor also does not have the right to defend against a lawsuit or search.

ある者（担保者）が他の者（被担保者）に対して、一定の事項につき、その者が被った損害を填補(てんぽ)することを約する契約。たとえば演奏会を後援し、損失が生じたらこれを填補することを約するなど。主たる債務を前提としてそれに付従する保証債務とは違って、担保者は債権者に対して独立の填補責任を負う。つまり付従性を有していない。また担保者は債告の抗弁権や検索の抗弁権をも有していない。
