A contract in which one person (guarantor) promises to indemnify another person (guarantee) for damages incurred in a certain matter. For example, sponsoring a concert and promising to indemnify if losses occur. Unlike a guarantee obligation which is subordinate to the principal obligation, the guarantor has an independent liability to indemnify the creditor. In other words, it does not have a subordinate nature. The guarantor also does not have the right to defend against a lawsuit or search.
