Also known as non-voting stock. In the past, the Japanese Commercial Code limited voting rights to preferred stocks with respect to dividends, but the 2001 amendment to the Commercial Code allowed for restrictions on voting rights regardless of dividends. Voting rights can also be restricted only on certain matters. For investors who are only interested in dividends, this type of stock is an appropriate form. 無議決権株ともいう。かつては日本の商法では利益配当についての優先株に限られていたが，2001年の商法改正により，配当とはかかわりなく議決権を制限することが認められた。一定の事項についてのみ議決権を制限することもできる。配当のみに関心をよせる投資家にとっては，この種類の株式は適当な形のものといえる。
