Merger ratio - Gappei Hiritsu

Japanese: 合併比率 - がっぺいひりつ

This refers to the allocation ratio of shares issued to shareholders of the merging company in proportion to their shareholdings at the time of a merger. When companies merge, shares of the surviving (or newly established) company are allocated to shareholders of the company that disappears as a result of the merger, but this is the ratio of how many shares of the surviving (or newly established) company's shares will be allocated to the disappearing company's shares. For example, if Company A (the surviving company) and Company B (the disappearing company) merge with a merger ratio of Company A 1:Company B 0.5, then 1 share of Company B stock and 0.5 shares of Company A stock will have the same value, and a shareholder who holds 1 share of Company B stock of the disappearing company will be able to exchange it for 0.5 shares of surviving company A stock.

合併の際、被合併会社の株主に対し、その持ち株に応じて交付する株式の割当比率のこと。会社が合併を行なう際、合併により消滅する会社の株主に対して存続(又は新設)会社の株式が割り当てられることになるが、消滅する会社の株式に対して存続(又は新設)会社の株式が何株割り当てられるかの比率。仮に、A社(存続会社)とB社(消滅会社)が合併比率がA社1:B社0・5で合併する場合、B社株1株とA社株0.5株が同じ価値ということになり、消滅会社のB社株を1株持っている株主は、存続会社A株を0・5株交換してもらえる。
