…　合資会社は，匿名組合とともに，10世紀ごろ地中海沿岸の諸都市で海上企業について行われていた，資本家が企業者に商品，金銭，船舶等を委託し，企業者は海外に渡航して貿易を行い，その利益を分配することを内容とするコンメンダ契約から発生したものといわれている。その後，企業者も資本の一部を拠出するコレガンティアcollegantia(またはソキエタスsocietas)という形態が生じ，これが15世紀には，資本家が共同事業者として外部にあらわれる場合とそうでない場合に分化していった。前者が合資会社の起源となり，後者は匿名組合に発展していったのである。…
