Based on the Financial Instruments and Exchange Act (Article 5), this is a notification to be submitted to the Prime Minister when offering or selling securities. It aims to disclose the true and detailed information of newly issued securities in the market, and to provide and protect the information necessary for investors to understand the substance of the securities. The matters to be described are specified in the Cabinet Office Ordinance on Corporate Disclosure. Specifically, it is a general term that includes the details of the securities, an overview of the issuer, business status, etc., and the articles of incorporation, prospectus, other attached documents specified by the Cabinet Office Ordinance, and amended notifications attached to them. Submission of a securities notification is applied when the total issue price and sale price of securities is 100 million yen or more and 50 or more people are solicited, or when soliciting non-qualified institutional investors (a securities notification must be submitted for securities less than 100 million yen, and not required for securities less than 1 million yen), and it is available for public inspection for five years from the time it becomes effective.

金融商品取引法（5条）に基づいて，有価証券の募集，売り出しに際して内閣総理大臣に提出すべき届出書。新しく市場で発行される有価証券の真実かつ詳細な内容を公開し，投資家が当該有価証券の実体を把握できるよう，判断資料の提供と保護を目的とする。記載事項は企業開示内閣府令で定められている。具体的には，当該有価証券の内容，発行者に関する概況，営業状況などで，これに添付される定款，目論見書，その他内閣府令で定める添付書類および訂正届出書を含めた総称。有価証券届出書の提出は，有価証券の発行価額，売出価額の総額が 1億円以上で 50人以上に勧誘する場合，または適格機関投資家以外に勧誘する場合に適用され（1億円未満のものについては有価証券通知書の提出を要し，100万円以下の場合は提出不要），効力発生時から 5年間，公衆の縦覧に供される。
