Investment banks are American securities firms whose main business is to act as intermediaries between investors and issuers of securities seeking to raise long-term funds, with a focus on underwriting new securities issues. Their traditional business activities include underwriting public offerings of securities, intermediation for private placements of securities, intermediation for mergers and acquisitions, project financing (loaning funds for a specific investment plan), intermediation for exchange offers for existing securities, and other consulting services for various corporate financial issues. Today, while most firms focus on these corporate finance services, they also engage in a wide range of brokerage and dealership activities in the secondary market for public bonds and stocks, becoming comprehensive securities companies. 投資銀行と訳される。証券の新規発行の引受業務を中心に,長期資金調達を図る証券発行者と投資家との間の仲介業務を主たる業務とするアメリカの証券業者のことである。その伝統的業務は,証券の公募発行の引受け,証券の私募発行の仲介,企業の合併・買収の仲介,プロジェクト・ファイナンス(ある特定の投資計画に対して行う資金貸付け),既発行証券を対象とするエクスチェンジ・オファーの仲介,その他企業の金融上の諸問題のコンサルティング業務などであるが,今日では大部分の業者は,こうした企業金融業務を中心にしつつも,公社債・株式の流通市場における委託売買業務やディーラー業務をも幅広く営み,総合証券会社となっている。
