A bill is usually delivered by its issuer to the payee, who then endorses and assigns it to the first endorsee, who then endorses and assigns it to the second endorsee, and so on, with the current holder assigning it to the next holder in turn, until the last holder, as the final holder, demands payment from the debtor of the bill. In other words, the assignee becomes the legitimate holder of the bill by receiving an assignment from the true holder of the bill, but conversely, if the assignor is an unauthorized person with respect to the bill, such as a thief or finder, the assignee cannot become the holder of the bill.

手形は，その振出人より受取人に交付され，受取人がこれを第1の被裏書人に，第1の被裏書人が第2の被裏書人に裏書譲渡するというように，現在の権利者が次の権利者に順次譲渡して，最後の所持人が最終的権利者として，手形の債務者に対して支払を請求することとなるのが普通である。すなわち，手形の真の権利者から譲渡を受けることによって譲受人は正当な権利者となるのであって，逆に，譲渡人が盗人とか拾得者とかのようにその手形について無権利者であるときは，譲受人は権利者になれないはずである。
