New share issue

A corporation issues shares to raise funds both when it is established and after it is established. Shares can also be issued for purposes other than fundraising, but when they are issued for the purpose of fundraising, they are called "normal new share issuances." In addition to normal new share issuances, there are also special new share issuances, such as stock splits, which offer great benefits to existing shareholders. There are three types of normal new share issuances: 1. Shareholder allotment - stock subscription rights are given to existing shareholders according to the number of shares they hold. 2. Third-party allotment - stock subscription rights are given to specific third parties that have some kind of relationship with the company, such as business partners, bank accounts, and employees. 3. Public offering - stock subscription rights are given to the general public. Paid capital increases are the norm.

株式会社は会社設立時のほか、設立後も資金を調達するために株式を発行する。資金調達以外の目的の株式発行もあるが、資金調達目的の場合を「通常の新株発行」という。通常の新株発行以外に特殊な新株発行もあり、特殊な新株発行には、既存の株主にメリットが大きい株式分割がある。通常の新株発行は以下の3つが想定される。1. 株主割当=新株引受権は持ち株数に応じて既存の株主に与えられる。2. 第三者割当=新株引受権は取引先や取引銀行、従業員など、その企業に何らかの関係のある特定の第三者に与えられる。3. 公募=新株引受権を広く一般に与えるもの。有償増資が一般的である。
