Asset underwriting - Sachübernahme (English spelling)
A contract in which promoters promise to take over certain assets on the condition that the company is established. An act carried out to prepare for the company's business. If the valuation of the object is excessive, it will threaten the financial foundation of the company and harm the company's creditors. Therefore, if this is allowed freely, it may be used as a means to circumvent the regulations on contributions in kind, so the article of incorporation requires the transfer of the object of the transfer, its price, and the name and title of the transferor, and it is only recognized as an abnormal incorporation item that it is effective against the company (Article 28, Paragraph 2 of the Companies Act). In principle, an investigation by an inspector appointed by the court (Article 33) is required, but from the perspective of economic rationality and ensuring the appropriate operation of the valuation procedure of the object of the transfer, an investigation by an inspector is not required in cases where the object of the transfer is a small amount of property, a security with a market price, or property whose value has been certified by a lawyer or other person as being reasonable (in the case of real estate, an appraisal by a real estate appraiser is also required) (Article 33, Paragraph 10, Items 1 and 2).

会社の設立に際して,発起人が会社の成立を条件として特定の財産を譲り受けることを約する契約。会社の営業準備のためになされる行為。目的物の評価が過大であると,会社の財産的基礎を脅かし会社債権者を害することになる。したがってこれを自由にすると,現物出資に対する規制を潜脱する手段とされるおそれがあるので,定款に譲渡の目的財産,価格,譲渡人の氏名・名称を記載させ,変態設立事項とした場合にかぎって会社に対する効力を認めている(会社法28条2号)。原則として裁判所の選任する検査役の調査(33条)を必要とするが,経済的合理性や目的財産の価額評価手続の適切な運用確保という観点から,目的財産が少額財産,取引所相場のある有価証券および弁護士などにより価額が相当であることについて証明を受けた財産(不動産の場合は不動産鑑定士の鑑定評価も必要)の場合には検査役の調査を要しないものとした(33条10項各号)。
