...Causes for dissolution of a joint-stock company include (1) expiration of the company's existence period, (2) company merger, (3) company bankruptcy, (4) a court decision ordering dissolution, and (5) a special resolution of the general shareholders' meeting (Commercial Code Article 404). In addition, a company whose registration has not changed for a long period of time (dormant company) is also considered to have been dissolved (Article 406-3). It is considered that having only one shareholder does not constitute a reason for dissolution, which differs from general partnerships, limited partnerships, and limited liability companies.
