Japanese: 記名株券 - きめいかぶけん

A stock certificate with the shareholder's name printed on it. Represents registered shares. Under current law, this is the only type permitted. To transfer shares, it is sufficient to deliver the stock certificate, but to assert authority over the company, a change of name on the shareholder register is required. It is not necessary to present a stock certificate to exercise shareholder rights. The company can simply send notices, demands, and dividends to shareholders on the shareholder register. To pledge registered shares, it is sufficient to deliver a stock certificate and continue to possess the shares, but if this is registered on the shareholder register, the pledgee can receive priority payment for dividends, residual asset distribution rights, etc. → Bearer stock certificate

株主の氏名が株券上に記載されている株券。記名株式を表章する。現行法ではこれのみが認められる。株式譲渡は株券の交付のみで足りるが，会社に対抗するためには，株主名簿の名義書換を要する。株主権の行使には必ずしも株券呈示の必要はない。会社は株主名簿上の株主に対し通知・催告・配当の送付をすればよい。記名株式の質入は株券の交付と占有の継続で足りるが，その旨株主名簿に登録されれば，質権者は配当・残余財産分配請求権等につき優先的に弁済を受け得る。→無記名株券
