When two corporations hold each other's shares. This is called cross-shareholding or simply cross-shareholding. It is done for the purpose of maintaining and strengthening business and partnership relationships, manipulating shareholders to be stable, manipulating stock prices, etc. Like treasury stock, it is a form of inflating company assets. Furthermore, it allows managers to use their voting rights to control the company without bearing the investment risks. In Japan, the 1981 Commercial Code amendments, following the example of German law, stipulate that if a company holds more than 1/4 of the total issued shares of another corporation, it does not have voting rights in the shares of the other company (Commercial Code Article 241, Paragraph 3). 株式会社が相互に株式を保有し合うこと。株式の持合いとか単に持合いともいう。取引関係・提携関係の維持・強化,安定株主工作,株価操作等の目的でなされる。自己株式と同様,いわば会社財産の水増しである。さらに,経営者がその議決権を利用して,投資危険を負わずに会社を支配することを可能にする。日本では,1981年の改正商法が,ドイツ法にならい,他の株式会社の発行済株式総数の1/4をこえる株式を有する場合,その会社は他の会社の株式については議決権を有しないこととした(商法241条3項)。
