A technical or business information that is useful for production methods, sales methods, and other business activities and is not publicly known. The Unfair Competition Prevention Law was amended in 1990 to provide for its protection (Article 1, Paragraphs 3 and 4). Trade secret misconduct can be broadly divided into two types: industrial espionage-like acquisition by illegal means such as theft, and use or disclosure in breach of trust for the purpose of wrongful profit or harm. In the former case, in addition to acquisition, use, and disclosure, acts of acquiring, using, or disclosing information knowing that it is a leak of illegally acquired information, and acts of using or disclosing information knowing after acquisition that it was acquired illegally, are also considered misconduct. In the latter case, acts of acquiring, using, or disclosing information knowing that it is a leak due to illegal disclosure, and acts of using or disclosing information after acquiring it with bad faith are also considered misconduct. Gross negligence is treated the same as bad faith. The owner of a trade secret may request the cessation or prevention of a trade secret misconduct, and, if necessary, may request the destruction of the items that constitute the misconduct, the equipment used in the misconduct, and other necessary measures.

秘密として管理されている生産方法，販売方法その他の事業活動に有用な技術上または営業上の情報で，公然と知られていないもののこと。不正競争防止法の 1990年の改正により保護に関して規定された (1条3，4項) 。営業秘密に関する不正行為は，窃取など不正な手段による産業スパイ的な取得行為と，不正図利ないし加害目的での信頼違反的な使用または開示行為の2類型に大別される。前者については取得，使用，開示行為のほか，不正取得された情報の流出であることを知って取得，使用，開示する行為，不正取得が介在することを取得後に知って使用または開示する行為も不正行為とされる。後者については，不正開示による流出情報であることを知って取得，使用または開示する行為，取得後に悪意になったのち使用または開示する行為も不正行為とされる。重大な過失は悪意と同一に扱われる。営業秘密の保有者は，営業秘密に関する不正行為の停止または予防を請求することができ，必要な場合には不正行為を組成した物，不正行為に供した設備などの廃棄その他必要な措置の請求ができる。
