Par value increase - Gakumenzoushi
When a corporation issues new shares to increase capital, a capital increase in which the issue price of the new shares is the face value (par value issuance) is called a par value increase. In contrast, a capital increase in which the issue price of the new shares is the market value is called a market value issuance, and a capital increase in which the price is higher than the face value but lower than the market value is called an interim issuance. Most companies listed on the stock market set their face value at 50 yen. Since the market value of listed stocks generally exceeds the face value, a par value increase is a capital increase that is favorable to the subscribers of the new shares. Due to the provisions of the Commercial Code (Article 280-2), which place strict restrictions on issuing new shares at particularly favorable prices to persons other than shareholders, a par value increase is usually a shareholder allotment increase.

株式会社は増資をするに際して新株を発行するが,新株の発行価額を券面額とする(額面発行)増資を額面増資という。これに対して,新株の発行価額を時価とする増資を時価発行増資,額面よりは高いが時価よりは低いある価格にする増資を中間発行増資という。証券市場に上場している会社のほとんどは券面額を50円と定めている。上場株式の時価はおおむね券面額を上回っているので,額面増資は新株の引受人に有利な増資である。株主以外の者にとくに有利な価額で新株を発行することを強く制限している商法の規定(280条ノ2)により,額面増資は株主割当増資となるのが通例である。
