Shares with a par value, i.e. shares whose articles of incorporation stipulate the amount per share (Commercial Code Article 166, Paragraph 1, Item 4 and Paragraph 2) and whose par value is shown on the stock certificate (Commercial Code Article 225, Item 4), are called par value shares, while shares without a par value, i.e. shares whose certificates do not state the par value, but simply state the number of shares they represent, are called non-par value shares. Either type of share has the same value as one share, and there is no difference between the two in terms of the rights owed to the company. However, as described below, there are restrictions placed on par value shares due to the amount per share being set, which results in differences between the two. 額面のある株式,すなわち定款に1株の金額の定めがあり(商法166条1項4号,同条2項),かつ株券に券面額が表示される(225条4号)株式を額面株式といい,額面のない株式,すなわち株券に券面額の記載がなく,単にその表章する株式数のみが記載される株式を無額面株式という。いずれも1株は1株として等価値であって,会社に対する権利の内容はその間になんらの差異もない。ただ次に述べるように,額面株式については,1株の金額が定められていることに伴う制約が設けられており,その結果,両者の間に差異が生ずる。
