保険会社が保険料積立金（保険会社が保険契約に基づいて約束した支払いを果たすために、保険料のなかから積み立てる金額）を一般勘定から区分された特別勘定のもとで、おもに株式や債券などの有価証券によって運用し、その運用実績に応じて満期保険金や解約返戻金が変動する生命保険商品をいう。

　変額保険は、養老保険または終身保険の形を用いてはいるが、保険会社が最低保証するのは一定額の死亡保険金（基本保険金）だけであり、満期保険金や解約返戻金は保険料積立金の運用実績に応じて変動するため、その実質は基本保険金の支払保証がついた株式投資信託と同様である。保険加入者にとっては、株式相場の上昇または下落により有力な財テク商品となったり損失を被ったりする商品となる。バブル経済崩壊以後の株価の下落により損失を被った保険加入者が保険会社を相手として損害賠償を求める訴訟を提起し大きな社会問題となった。
