This was the name used before the enactment of the Companies Act in 2005, and refers to bonds that have the right to be converted into shares of the issuing company (conversion rights). When the conversion rights are exercised, the bonds held by the holder are extinguished, and only the shares remain. Thus, the holder of the convertible bond becomes a shareholder by exercising the conversion rights. Until the conversion rights are exercised, investors can secure a stable cash flow as bondholders, and if the company's performance improves, they can exercise the conversion rights to become shareholders and share in the improved performance, making it easier to attract investors by using both the benefits of bonds and shares. After the enactment of the Companies Act in 2005, bonds with stock characteristics were collectively referred to as bonds with stock acquisition rights (Article 2, Paragraph 22 of the Companies Act), and in particular, convertible bonds are those that, when exercising the stock acquisition rights, redeem the bonds to pay for the stock acquisition rights, and as a result, the holder is left with no bonds. In the securities market and in the securities sections of newspapers, they are called convertible bonds with stock purchase warrants.

2005年(平成17)会社法制定がなされる前に用いられていた名称で、発行会社の株式に転換することができる権利(転換権)が与えられている社債。転換権を行使すると、転換社債はその保有する社債が消滅し、株式のみが残る。よって転換社債権者は転換権行使により株主となる。投資家は、転換権を行使するまでは社債権者として安定したキャッシュ・フローを確保することができ、仮に会社の業績があがれば転換権を行使して株主となり、向上した業績に与(あずか)ることができ、社債と株式のうまみを両方使って投資家を募ることを容易にする。2005年の会社法制定後は、株式性を有する社債権を新株予約権付社債と総称し(会社法2条22号)、とくに、新株予約権を行使する際に、社債を償還して新株予約権の払込みにあててその結果権利者の手元には社債が残らないものがこの転換社債にあたるものとした。なお、証券市場や新聞の証券欄では転換社債型新株予約権付社債とよばれている。
