This system developed as a unique corporate management system in British colonies such as India and Malaya. Under this system, an entrepreneur does not merely promote and invest in a company, but goes further and enters into what is known as a management agency agreement with the company. As managing agent, he then oversees all aspects of the company's management, charging a fee in return. The contract usually stipulates a long agency period, and the fee is agreed upon as a high rate of commission. By taking the expedient of an agency agreement, entrepreneurs are simultaneously guaranteed semi-hereditary control over the company's management and the absorption of company profits in the form of fees.

インド，マラヤなどイギリス植民地において独特な企業経営システムとして発展した制度。この制度の下では，企業家は会社を発起し出資するにとどまらず，さらに進んで，この会社との間で，いわゆる経営の代理契約を結ぶ。そして経営代理人という資格でこの会社の経営いっさいをとりしきり，代価として手数料を徴収する。契約では，ふつう代理期間が長期に定められ，手数料も高率の出来高手数料として契約される。企業家は代理契約という便法を講じることにより，会社経営権の半世襲化と手数料名目での会社利益の吸収とを，同時に保証されるのである。
