Legally, there is no independent right called management rights. After World War II, when labor unions demanded intervention in management, employers began to use the term in contrast to labor rights, and it can be said to be an exclusive decision-making area of ​​management in which workers cannot intervene even through collective bargaining or industrial action. In business management, management rights are the internal and external authority of managers. Internal management rights are the authority to functionally command and lead employees within the business, and a typical example of this is personnel rights. External management rights are the authority to assert the interests and autonomy of one's own management to environmental entities such as shareholders, labor unions, financial institutions, governments, customers, and local communities that interact with management, and to maintain and develop management. As with authority in general, the flip side of authority is responsibility. The responsibility of external management rights is social responsibility, and management rights, especially external management rights, are inseparable from the social, public, and public interest of management.

法律上、経営権という独立した権利は存在しない。第二次世界大戦後、労働組合が経営に介入を要求したとき、使用者側が労働者側の労働権に対照させて使い始めた用語で、その内容は、労働者側が団体交渉や争議行為によっても関与しえない経営の専権的決定領域といえる。経営学上では、経営権は経営者の対内的・対外的権限である。対内的経営権とは、経営内部の従業員を機能的に指揮、統率しうる権限であり、その典型は人事権である。対外的経営権とは、経営と相互作用する株主、労働組合、金融機関、政府、顧客、地域社会などの環境主体に対し、自己の経営の利害と自主性を主張し、経営の維持、発展を図る権限である。権限一般がそうであるように、権限の反面には責任が付随する。対外的経営権の責任は、社会的責任であり、経営権、とくに対外的経営権は、経営の社会性、公共性、公益性と不可分のものとなる。
