Delegation of management is the delegation of management of a company to another person. There are two types of delegation: one in which the profits and losses of the business entrusted to the agent belong to the agent (called management delegation in the narrow sense), and one in which the profits and losses belong to the delegator (called business management). Both types are often carried out for the purpose of business combination, such as forming a conglomerate by bringing the entrusted business under its umbrella, but there are not many examples of this in Japan. Management delegation can be validly established based on a delegation contract between the parties, but in the case of a joint stock company or a limited liability company, delegating all of the management has a significant impact on the way the company is run, so a special resolution of the general shareholders' meeting and general members' meeting is required for validity (Commercial Code, Article 245, Paragraph 1, Item 2; Limited Company Law, Article 40, Paragraph 1, Item 2).

企業の経営を他人に委任することであるが，その中には，経営を委任された営業に基づく損益が受任者側に帰属する類型(狭義の経営委任とよばれる)と，損益が委任者側に帰属する類型(経営管理とよばれる)の2類型があるといわれている。いずれの形態も委任された営業を傘下に収めてコンツェルンを形成するなど企業結合の目的で行われることが多いが，日本ではその実例はあまり多くない。経営委任は当事者間の委任契約に基づいて有効に成立しうるが，株式会社，有限会社においては，経営の全部を委任する場合は，その会社における営業のあり方に重大な影響が及ぶので，株主総会，社員総会の特別決議を経ることが有効要件とされている(商法245条1項2号，有限会社法40条1項2号)。
