A book that is required to be prepared and kept under the Companies Act to clarify matters related to shareholders and stock certificates (Corporate Law, Article 121). It is not a commercial book. It is important in terms of the transfer of shares, the shareholders' right to exercise their rights against the company, and in the case of a company issuing stock certificates, as a requirement for opposing third parties (Article 130, Paragraph 1), as well as in terms of the pledge of shares (→ registered pledge, Article 147, Paragraph 1) and the notification of company shareholders (Article 126, Paragraph 1). A company can close its shareholder register to determine who exercises rights, and can also set a record date (Article 124). Stock affairs such as changing the names on the shareholder register can be entrusted to a shareholder register administrator by the articles of incorporation (Article 123).

株主および株券に関する事項を明らかにするため，会社法上作成，備置が要求される帳簿（会社法121）。商業帳簿ではない。株式の譲渡に関して，株主の権利行使資格の会社に対する，また，株券発行会社では第三者に対する対抗要件として（130条1項），さらには株式の質入れ（→登録質。147条1項），会社の株主に対する通知（126条1項）などに関して重要な意義を有する。会社は権利行使者確定のため株主名簿の閉鎖をすることができ，また基準日の設定もできる（124条）。株主名簿の名義書き換えなどの株式事務は定款をもって株主名簿管理人に委託できる（123条）。
