A secondary offering is an offer to sell or a solicitation to buy securities that have already been issued, made under uniform terms and conditions to 50 or more people (Securities and Exchange Law, Article 2, Paragraph 4, Enforcement Order, Article 1-8). For example, when stocks are publicly offered, the issuer's major shareholders may purchase shares held by the issuer through securities companies to an unspecified number of general investors. It may also be carried out for the purpose of an issuer increasing the number of floating shareholders to meet the stock exchange's criteria for partial designation, or to avoid violating the criteria for transfer from the first section to the second section or the criteria for delisting. In addition, a system called over-allotment was introduced in January 2002 to prevent a deterioration in the supply and demand relationship in the secondary market and the demand situation for public offerings and secondary offerings.

売出しとは、既に発行された有価証券の売付けの申込み又はその買付けの申込の勧誘のうち、均一の条件で50人以上の者を相手方として行うものである。(証券取引法第2条第4項、同施行令第1条の八)例えば、株式を公開する場合など、その発行会社の大株主が所有する株式について、証券会社を通じて不特定多数の一般投資家に取得させる場合が該当します。また、発行会社が浮動株主を増やして証券取引所の一部指定基準を充足することを目的としたり、市場第一部から第二部への指定替え基準、上場廃止基準に抵触しないようにすることを目的として実施されることもある。なお、平成14年1月以降、募集・売出しの需要状況やその後の流通市場における需給関係の悪化を防ぐ観点からオーバーアロットメントという制度が導入されました。
