Deposit - Uchikin

This refers to money paid in advance as part of the payment of the purchase price, contract fee, etc., in accordance with an agreement between the parties. Although it is originally only a partial payment of the price, the deposit paid when a contract is concluded often serves as a deposit, which is evidence that the negotiations have been successful and the sale has been concluded. It is also often used as a termination deposit, giving both parties the right to terminate the contract by losing the deposit. Whether a deposit has such characteristics depends on the interpretation of the parties' intentions, but it is desirable to clearly agree on whether it is a deposit or a deposit when concluding a contract.

売買代金や請負報酬などの支払いについて、当事者間の約束に従い、その一部として前払いされる金銭をいう。本来は代金の一部の弁済にすぎないが、契約の締結の際に支払われる内金は、多くの場合、証約手付として、交渉が成立し売買が成立したという契約成立の証拠となる意味をもつ。また、解約手付として、両当事者に、手付金額を失うことにより契約を解除できる権利を与える場合も少なくない。内金がそのような性質をもつかどうかは、当事者の意思の解釈によって定まるが、契約締結の際に内金か手付かをはっきり約定しておくことが望ましい。
