Capital increase - Zōshi

To increase the total amount of capital. Also called an increase in the amount of capital. Capital, which is a fixed figure to secure the company's assets, cannot be reduced without going through strict procedures in order to protect creditors (principle of immutable capital). However, this "immutable" only means reducing it, and increasing capital is free in order to protect creditors. Capital increases in a joint-stock company are usually carried out by issuing new shares, but they can also be increased by recording them as capital in the event of a merger, absorption-type division, incorporation-type division, stock exchange, or stock transfer (Article 445, Paragraph 5 of the Companies Act). In addition, the amount of capital can be increased by reducing the amount of capital reserves or other capital surpluses (Articles 448 and 450 of the same Act).

資本金の総額を増加すること。資本金額の増加ともいう。会社財産を確保するための一定の数字である資本金は、債権者保護に資するために、厳格な手続を経ることなくしてこれを減少させることはできない(資本不変の原則)。しかし、この「不変」とは減少させることだけを意味するのであり、資本金を増加させることは、それが債権者保護に資するために自由である。株式会社における増資は、通常、新株の発行によって行われるが、合併、吸収分割、新設分割、株式交換または株式移転に際して資本金として計上することにより増資がなされることもある(会社法445条5項)。また、資本準備金またはその他資本剰余金の額を減少して、資本金額を増加することができる(同法448条、450条)。
