Nominated debt - Shimei Saiken

An ordinary claim that is specified by the creditor. It is the opposite of a claim to a specific order or a bearer claim, and refers to a general claim other than these securities-like claims. Unlike securities-like claims, a document (security) is not required for the claim to be established, exist, exercised, or transferred. In principle, a named claim can be transferred by contract between the transferor and the transferee, but in order to assert it against the debtor of the named claim, notice or consent is required (Civil Code Article 467, Paragraph 1). Also, in order to assert it against a third party other than the debtor (e.g., a double transferee), the notice or consent must be made with a document with a fixed date (Civil Code, Paragraph 2).

債権者が特定している普通の債権。指図債権、無記名債権に対する語で、これらの証券的債権以外の一般の債権をいう。証券的債権と異なって、債権の成立・存続・行使・譲渡に証書（証券）を必要としない。指名債権は、譲渡人と譲受人との間の契約で譲渡することができるのが原則であるが、それを指名債権の債務者に対抗するためには、通知または承諾が必要である（民法467条1項）。また債務者以外の第三者（例、二重譲受人など）に対抗するためには、通知または承諾が確定日付ある証書をもってなされることが必要である（同条2項）。
