When issuing new shares, the issue price is not set at par value, but at a price close to the market price (current value). When issuing at current value through a public offering, the issue price is determined by applying a certain amount of discount to the current value on a certain date, taking into account stock price fluctuations that may occur between the time the price is determined and the time of payment. This discount rate is usually determined by taking into account investor demand trends, etc. When issuing new shares at current value, it is necessary to make all issuance conditions equal for each issue (Commercial Code Article 280-3) and to ensure that the issue price is not significantly unfair to existing shareholders (Commercial Code Article 280-11). When issuing securities to persons other than shareholders at a particularly favorable issue price, it is necessary to disclose the reasons at the general shareholders' meeting and obtain a special resolution (Commercial Code Articles 280-2 and 280-10).

新株式の発行にあたって、発行価格を額面金額とせず、市場価格(時価)に近い価格で発行することを時価発行(増資)という。時価発行を公募で行う場合は、発行価格は価格決定から払込までの間に起こりうる株価変動などを考慮し、一定の日の時価を基準としてある程度のディスカウントを行って決定している。このディスカウント率は、投資家の需要動向等を勘案して決定されるのが通例である。時価発行増資を行うに際しては、発行毎に発行条件をすべて均等にし(商法第280条の3)、発行価格が既存株主にとって著しく不公正にならないようにする必要がある(商法第280条の11)。株主以外の者に対し、特に有利なる発行価格をもって有価証券を発行する場合は、株主総会でその理由を開示して特別決議を経ることが必要である(商法第280条の2および第280条の10)。
