The Commercial Code, consisting of 3 volumes and 1064 articles, was based on a draft by H. Roessler, a foreign employee, and was promulgated in April 1890 as Law No. 32 of the 23rd year of the Meiji era, and was set to come into effect on January 1 of the following year. After its promulgation, it was criticized by both the government and the opposition, and its implementation was postponed along with that of the Civil Code (→ Civil Code Controversy). Some provisions were subsequently amended, but when the Commercial Code (also known as the Meiji Commercial Code) came into effect in 1899, all provisions except for the Bankruptcy Law were abolished.
