Cancellation of shares

...Looking specifically at the case of a joint-stock company, capital reduction requires a special resolution of the general shareholders' meeting (Commercial Code, Article 375, Paragraph 1), and this resolution also specifies the method of reduction (Article 376, Paragraph 1). Reduction methods include reducing the stock price and reducing the number of shares, the latter of which can be achieved by canceling the shares or by consolidating the shares. Furthermore, there are two methods for canceling shares: voluntary cancellation, in which the company acquires the shares through a contract with the shareholders, and compulsory cancellation, which is usually carried out equally in proportion to the number of shares held, regardless of the shareholders' wishes.
