[Merger Procedures]
Mergers involve the transfer of assets and the acquisition of shareholders, so they are an extremely important issue for the shareholders and creditors of each company, and therefore the procedures are complex. Mergers are also important for managers and employees, so the parties often reach an agreement on basic matters beforehand, but the first step in the Commercial Code procedure is the preparation of a merger agreement (Commercial Code Article 408). In addition to the statutory provisions (Commercial Code Article 409), optional matters can also be included.
