Generally, all shares in the same company are in principle on an equal footing, and their rights and interests are equal. However, different types of shares with different contents on certain matters are permitted (Commercial Code Article 222). When a company has two or more types of shares with respect to certain rights, the standard stock is called a common stock, and those that are recognized as having preferential contents, i.e., so-called priority rights, based on this common stock are called preferred stocks, and those that are recognized as having subordinate contents are called subordinate stocks. 一般に同一会社の各株式は原則として同等の立場に立ち,その権益は平等である。ところが一定の事項について内容の異なる種類の株式が認められる(商法222条)。ある会社の株式が,ある権利内容について2種以上存する場合,標準となる株式を普通株と称し,この普通株を標準として株式の権益の一つあるいは二つ以上について,優先的な内容すなわち,いわゆる優先権の認められるものを優先株と称し,他方,劣後的な内容のものを劣後株と称する。
