Securities finance company

A special financial institution whose main business is to lend money or stock certificates necessary for the settlement of margin trading of stocks at a stock exchange (financial instruments exchange). It is a company stipulated in the Financial Instruments and Exchange Act (Act No. 25 of 1948. Before the revised law came into effect in September 2007, it was called the Securities and Exchange Act), a joint-stock company with a certain amount of capital, and must be licensed by the Prime Minister. With the reopening of the stock exchanges in 1949 (Showa 24), nine securities finance companies were established in the locations of the stock exchanges nationwide from autumn of that year to the following year in 1950, and performed their functions with financial assistance from the Bank of Japan. In 1955, the Securities and Exchange Act was revised to require securities finance companies to be licensed, and they were merged into three companies: Japan Securities Finance Co., Ltd. (Tokyo), Osaka Securities Finance Co., Ltd., and Chubu Securities Finance Co., Ltd. (Nagoya). In 2013, following the business integration of the Tokyo Stock Exchange Group and the Osaka Securities Exchange, Japan Securities Finance Co., Ltd. and Osaka Securities Finance Co., Ltd. merged (to become Japan Securities Finance Co., Ltd.) to become two companies.

In addition to lending for margin trading, they also lend money to securities companies and their customers using stocks and public bonds as collateral. In the stock market, the outstanding loan balance of securities finance companies, especially that of Japan Securities Finance Co., Ltd., is considered one of the important indicators for predicting stock prices as a measure of market popularity.

証券取引所(金融商品取引所)における株式の信用取引の決済に必要な金銭または株券を取引所の会員証券会社に貸し付けることを主要業務とする特殊な金融機関。金融商品取引法(昭和23年法律25号。2007年9月の改正法施行以前は証券取引法)に規定された会社であり、一定額以上の資本金をもつ株式会社で、内閣総理大臣の免許を受けなければならない。1949年(昭和24)の証券取引所の再開に伴い、同年秋から翌1950年にかけて、全国九つの証券取引所所在地にそれぞれ設立され、日本銀行の資金的援助の下にその機能を発揮したが、1955年に証券取引法が改正されて証券金融会社が免許制に移行するとともに、日本証券金融株式会社(東京)、大阪証券金融株式会社、中部証券金融株式会社(名古屋)の3社に統合された。2013年(平成25)、東京証券取引所グループと大阪証券取引所の経営統合に伴い、日本証券金融株式会社と大阪証券金融株式会社が合併し(社名は日本証券金融株式会社)、2社となった。

 業務としては、信用取引のための貸付のほか、証券会社やその顧客に対して、株券や公社債を担保として、金銭の貸付も行っている。株式市場においては、証券金融会社の融資残高、とくに日本証券金融株式会社のそれは、市場人気の尺度として株価予測上の重要指標の一つとされている。
