Directive securities - Sashizushoken

A security whose owner is a specific person named on the security or a person to whom the security is directed. The concept is the opposite of a named security. A person to whom the security is transferred by endorsement, and a security to whom the security is directed is a security that can be transferred by endorsement.

There are some instruments to order that state that a specific person or a person designated by the instructions will be the right holder on the instrument, such as "to Person A or his/her instructions," but there are also some that are legally allowed to be endorsed even without such instructions. The latter are called legally allowed to be endorsed. In this case, even if a specific person is listed as the right holder in the formal format mentioned above, they can be transferred by endorsement. Bills, checks, bills of lading, and warehouse receipts belong to this category (Bills of Exchange Act, Article 11; Cheques Act, Article 14, Paragraph 1; Commercial Code, Articles 574, 603, 627, Paragraph 2, and 776).

証券上に権利者として表示された特定の者またはその指図人を権利者とする有価証券。記名証券に対する概念。指図人とは、裏書によりその証券を譲り受けた者のことであり、指図証券は裏書によって譲渡することができる有価証券である。

　指図証券には、証券に「甲殿又はその指図人に」というように、指図文句により特定の者またはその指定する者が証券上の権利者になる旨を明記する場合のほかに、そのような指図文句がなくても法律上当然に裏書が可能とされるものがある。後者を法律上当然の指図証券という。この場合は、形式上記名式で特定の者が権利者として記載されていても、裏書による譲渡が可能である。手形、小切手、貨物引換証、船荷証券、倉庫証券などがこれに属する（手形法11条、小切手法14条1項、商法574条・603条・627条2項・776条）。
