Direct receivables - Direct receivables

A security-like claim to be paid to a specific person or to a person who is in turn instructed by that person. The delivery is usually a payment of money or the delivery of goods. Bills, checks, warehouse receipts, lading receipts, and bills of lading, which are typical securities defined by the Commercial Code, are naturally command claims under the law even without command clauses, but the Commercial Code, Bills of Exchange Act, and Check Act apply primarily to them.

In addition, it is possible to issue direct claims that are subject to the Civil Code, but in practice there appear to be no examples of this being done.

特定の人またはその人から順次に指図される人に弁済すべき証券的債権。その給付内容は、普通、金銭の支払いまたは物品の引渡しである。商法の定める典型的な有価証券である手形、小切手、倉庫証券、貨物引換証、船荷証券は、指図文句がなくても法律上当然の指図債権であるが、それらに対しては、第一次的に商法、手形法、小切手法が適用される。

　このほか、民法の適用を受ける指図債権を発行することも自由であるが、実際上その例はみられないようである。
