Negligence in concluding a contract

Japanese: 契約締結上の過失 - けいやくていけつじょうのかしつ

This refers to the legal principle that if one party to a contract suffers damage due to the intention or negligence of the other party during the preparation stage for or the process leading up to the conclusion of a contract, the other party should be required to compensate for the damage based on the concept of contractual liability, even if the contract is invalid or void. For example, in a contract for the sale and purchase of a villa, the villa was burned down just before the contract was concluded, but the seller concluded the contract without checking it carefully. In this case, the sales contract becomes a contract for the purpose of original impossibility and is not effective. Therefore, the expenses (damages) incurred by the buyer, such as travel expenses to inspect the villa, cannot be pursued against the seller based on contractual liability, but this legal principle requires that the buyer be compensated even in such a case.

契約締結の準備段階または契約締結に至る過程において，契約当事者の一方の故意･過失により他方当事者が損害を受けた場合には，たとえ契約が不成立または無効であったとしても，その損害を，契約責任の考え方に基づいて賠償させるべきだという法理，またはその賠償責任をさす。たとえば，別荘の売買契約において，契約締結の直前に別荘が焼失していたのに，売主がそれをよく確かめずに契約を締結したとする。この場合その売買契約は，原始的不能を目的とする契約となって効力を生ぜず，したがって，買主が別荘を下見に行くために支出した旅費等の費用(損害)は，本来は契約責任によっては売主に追及できないことになるが，その場合でも賠償させようという法理である。
