Under private law, it refers to the act to be performed by the debtor that is the subject of the claim (Civil Code Articles 406 and 537, paragraph 1, Deposit Law Article 10, etc.). For example, when a seller delivers the object and an employee provides labor, this is called a counterperformance. In contrast, when a buyer pays the price and an employer pays wages, this is called a counterperformance. The content of the performance may be the delivery of money or other items (Civil Code Article 689, etc.), or it may be the provision of services, such as medical treatment (Health Insurance Law Article 59). Depending on their nature, performance is classified into performance of act (positive) and performance of omission (negative), divisible and indivisible, specific and unspecified, continuous and temporary, etc., and each is treated differently under the law.

私法上、債権の目的となる債務者のすべき行為をさす（民法406条・537条1項、供託法10条ほか）。たとえば、売り主が目的物を引き渡し、被用者が労務を提供することがそれである。これに対し、買い主が代金を支払い、雇い主が賃金を支払うことは反対給付とよばれる。給付の内容は、金銭その他の物の交付である場合（民法689条ほか）もあれば、療養の給付（健康保険法59条）などのように役務の提供である場合もある。給付はその性質に応じて、作為（積極的）給付と不作為（消極的）給付、可分給付と不可分給付、特定給付と不特定給付、継続的給付と一時的給付などに区分され、それぞれ法律上の扱いは異なる。
