When two or more companies are in a controlling/subordinate relationship, it means the company that controls the other company (= subsidiary). Please note that the definitions are different under the Commercial Code and the Securities and Exchange Act. Under the Commercial Code, it means the company that owns the majority of the voting rights of all shareholders of the subsidiary, and under the Securities and Exchange Act, it means the company that controls the decision-making body of the subsidiary. Specifically, if a company owns the majority of the voting rights of the subsidiary (shareholding standard = formal standard), or if it owns 40% to 50% of the voting rights but has a close relationship with the subsidiary and exercises the voting rights in the same way as its own will, the majority of the voting rights are held by those who exercise the voting rights (control standard = actual standard), or if the officers, etc., hold the majority of the members of the board of directors, etc. (control standard = actual standard), it is also called a parent company. In principle, parent companies subject to the Securities and Exchange Act prepare consolidated financial statements.

2社以上の会社が支配従属関係にあるとき、他の会社(=子会社)を支配している会社のことを意味します。商法上と証券取引法では定義が異なるので注意が必要です。商法上は、子会社の総株主の議決権の過半数を所有している会社のことで、証券取引法上においては、子会社の意志決定機関を支配している会社のことを指します。具体的には、子会社の議決権の過半数を所有していること(持株基準=形式基準)、または議決権の40%以上50%以下を所有している場合でも、子会社と緊密な関係があることにより、自己の意志と同一の内容の議決権を行使するものが議決権の過半数を占めている場合(支配力基準=実質基準)や、役員等が取締役会等の構成員の過半数を占めている場合(支配力基準=実質基準)なども親会社と呼びます。尚、原則として証券取引法の適用を受ける親会社は、連結財務諸表を作成します。
