A mechanism for liquidating and securitizing loans and bonds held by financial institutions, etc., using special purpose companies (SPCs) and trusts, etc., or the securities issued at that time. When the object of liquidation and securitization is a loan, it is called a CLO (Collateralized Loan Obligation), and when it is a bond, it is called a CBO (Collateralized Bond Obligation). The specific mechanism of CLO/CBO is to first set up a special purpose company or trust, etc., and sell the loans and bonds held by financial institutions, etc. to it. The special purpose company or trust will then sell them in the form of investment certificates or beneficiary certificates in small lots. In addition, there are cases where credit derivative contracts are concluded with financial institutions, etc. to guarantee the risk of the target loans, corporate bonds, etc. (synthetic CLO/CBO). In this case, the loans, corporate bonds, etc. are not sold directly, but the financial institutions, etc. can receive the payment determined in advance based on the contract in the event of the debtor's bankruptcy, etc., so the economic effect is expected to be the same as if the loans, corporate bonds, etc. were sold.

金融機関等が保有するローンや社債などを特定目的会社(SPC)や信託などを利用して流動化・証券化する仕組み、またはその際に発行される証券のこと。流動化・証券化の対象となるのが、ローンである場合をCLO(ローン担保証券)、社債である場合をCBO(社債担保証券)と呼ぶ。CLO/CBOの具体的な仕組みは、まず特定目的会社や信託などを設定し、そこに金融機関等が保有するローンや社債などを売却。その特定目的会社や信託などが、出資証券や受益証券の形で小口化して販売することとなる。また、金融機関等との間で、対象となるローンや社債などのリスクを保証するクレジット・デリバティブ契約を結ぶ場合もある(シンセティックCLO/CBO)。この場合は、ローンや社債などが直接売却される訳ではないが、債務者が破綻などした場合に、あらかじめ契約に基づいて定められた支払金を金融機関等が受け取ることができる仕組みであるため、実質的にローンや社債などが売却されたのと同様の経済的効果が期待できる。
