An act prohibited by the Antimonopoly Act. It is "a substantial restriction of competition in a certain field of trade, contrary to the public interest, by an enterprise, either alone or in combination or collusion with other enterprises, or by any other means, excluding or controlling the business activities of other enterprises" (Article 2, Paragraph 5). While an unfair trade restriction takes the form of a business combination called a cartel, a private monopoly is typically a business combination form called a trust or a conzern. In other words, it is a business combination form in which multiple enterprises are integrated under a single controlling power, and the entire business activities are controlled by a unified will. This type of business combination form is formed through means such as stock ownership, financing, concurrent or temporary directorships, mergers, and business transfers, but stock ownership, concurrent directorships, mergers, and business transfers are prohibited under certain conditions in Chapter 4 of the Antimonopoly Act.

独占禁止法が禁止している行為。「事業者が，単独に，または他の事業者と結合し，もしくは通謀し，その他いかなる方法をもってするかを問わず，他の事業者の事業活動を排除し，または支配することにより，公共の利益に反して，一定の取引分野における競争を実質的に制限すること」 (2条5項) である。不当な取引制限が，カルテルという企業結合形態をとるのに対し，私的独占は，トラスト，コンツェルンという企業結合形態を典型とする。すなわち，複数の企業が単一の支配力のもとに統合され，その事業活動全体が統一的な意思によって支配される企業結合形態である。この企業結合形態は，株式所有，融資，役員の兼任もしくは派遣，合併，営業譲渡といった手段を通して形成されるが，株式所有，役員の兼任，合併，営業譲渡については，独占禁止法第4章において，一定の要件のもとに禁止されている。
