Law No. 120 of 1956. This is a supplementary legislation to the Antimonopoly Act, which was established to prevent parent companies from unfairly using their superior bargaining position to cause unfair disadvantage to subcontractors in transactions between parent companies and subcontractors. In subcontracting transactions, the parent company's unfair use of its superior bargaining position is manifested in the form of delayed payment of subcontract fees, which is considered to be an unfair trade practice as stipulated in the Antimonopoly Act. This law was established to provide a specific system for this transaction and to clarify the protection of subcontractors. The parent company's payment deadline for the subcontractor must be set within a 60-day period, and the parent company must provide the subcontractor with a written document detailing the details of the subcontract transaction. In addition, it prohibits unfair refusal to accept a contract from a subcontractor, non-payment of subcontract fees after the payment deadline has passed, forcing subcontractors to pay subcontract fees, forcing bundled sales, offsetting the payment when raw materials are purchased, and making payments using bills that are difficult to discount. In addition, subcontractors are required to pay late interest, providing protection to them.

昭和 31年法律 120号。親事業者と下請事業者との取引に関して，親事業者が優越的な地位を不当に利用して，下請事業者に不当な不利益を加えることを防止するために設けられた独占禁止法の補助立法。下請取引については，親事業者の優越的地位の不当利用が下請代金の支払遅延などの形で現われ，それが独占禁止法に定める不公正な取引方法に該当する行為とされる。この取引について，具体的な制度を設け，下請事業者の保護を明確にするために設けられたのが本法である。下請事業者に対する親事業者の下請代金の支払期日は，60日の期間内に定められなければならず，親事業者は下請事業者に対して，下請取引の内容を記載した書面を交付しなければならないこと。また，下請事業者に対する不当受託拒否，支払期日の経過後の下請代金の不払い，下請代金の強制，抱合せ販売の強制，原材料などを購入させた場合の代金の相殺，割引困難な手形による支払いなどが禁止されている。さらに遅延利息の支払いを義務づけられ，下請事業者の保護がはかられている。
