Post-establishment - Jigosetsurittsu

A company may enter into a contract within two years of its establishment to acquire assets that existed before its establishment and should be used continuously for its business for a price that exceeds 20% of the net assets. For example, a company A and a company B, which develop commercial facilities, may establish a company C, which develops sports facilities, through the incorporation of a promoter, and within two years of the company's establishment, a contract may be entered between the two companies to acquire land owned by the company A for a price that exceeds 20% of the net assets of the company C. If the assets are overvalued and a price higher than the actual value of the assets is paid, the financial foundation of the company will be damaged from the very beginning of its establishment. In addition, in order to circumvent the strict regulations on contributions in kind and underwriting of assets, in order to prevent the conclusion of a contract to transfer specific assets after the company is established, a special resolution of the general meeting of shareholders is required for post-establishment (Companies Act, Article 467, Paragraph 1, Item 5, Article 309, Paragraph 2, Item 11).

会社が、その成立後2年以内に、成立前から存在する財産で事業のために継続して使用すべきものを、純資産額の20％を超える対価で取得する契約をすること。たとえば、商業施設の開発を行うA社とB社が発起設立によりスポーツ施設の開発を行うC社を設立し、会社成立後2年以内に、A社とC社の間で、A社が所有する土地をC社の純資産額の20％を超える対価をもって取得する契約を締結するような場合である。財産が過大評価されて財産の実際の価値よりも高い価格を支払うことになると、会社設立の当初から会社の財産的基礎が害されてしまう。また、現物出資や財産引受けの厳格な規制を潜脱する方法として、会社の成立後に特定の財産の譲渡契約が締結されることを防止するため、事後設立を行うには、株主総会の特別決議を要するものとした（会社法467条1項5号、309条2項11号）。
