Debt assumption - Saimuhikiuke

A contract that transfers a debt to an underwriter while maintaining its identity. There are overlapping (concurrent) debt assumptions and exemptive debt assumptions. In the former, the underwriter assumes the same debt together with the original debtor, and therefore performs a kind of security function. It is established by a three-sided contract between the creditor, debtor, and underwriter, or a contract between the creditor and the underwriter. In the latter, the underwriter assumes the debt, and the original debtor is relieved of the debt. In addition to being established by a three-sided contract between the creditor, debtor, and underwriter, it can also be established by a contract between the debtor and the underwriter, but the creditor's consent is required, and it takes effect retroactively from the time of consent. It is very similar to a renewal due to a change of debtor, but differs from it in that the identity of the debt is not lost.

債務を、その同一性を保持したまま引受人に移転する契約。重畳的（併存的）債務引受けと免責的債務引受けとがある。前者は、引受人が原債務者とともに同一の債務を負担するものであり、したがって一種の担保的機能を営む。債権者・債務者・引受人の三面契約、債権者と引受人との契約などによって成立する。後者は、引受人が債務を負うかわりに原債務者が債務を免れるものである。債権者・債務者・引受人の三面契約によって成立するほか、債務者と引受人との契約でも成立しうるが、債権者の承諾が必要であり、承諾があったときにさかのぼって効力を生じる。債務者の交替による更改(こうかい)に酷似するが、債務の同一性が失われない点でそれとは異なる。
