Foreign-affiliated companies

A company with a high percentage of foreign capital in its capital structure. According to the definition of the Ministry of Economy, Trade and Industry, a company in which foreign capital has acquired shares for the purpose of participating in management, and the foreign capital ratio is usually more than 20%, generally, the following three are collectively called foreign-affiliated companies. The first type is a company established in Japan with the entire capital contributed by a foreign corporation or a foreigner, which is called a pure foreign-affiliated company. The second type is a company established in Japan with joint investment from a Japanese corporation or a Japanese person and a foreign corporation or a foreigner, which is called a joint venture company. Depending on the investment ratio, these are divided into Japanese capital-dominated and foreign capital-dominated types. The third type is when a foreign corporation acquires shares or equity of an existing Japanese corporation, and such a company is called a foreign-affiliated company. The characteristics of foreign-affiliated companies vary greatly depending on the level of foreign capital, so when we say foreign-affiliated companies, we usually only mean those in which foreign capital has a large influence.

資本構成のうえで外国資本が占める比率の高い企業。経済産業省の定義によれば、外資が経営参加を目的として株式を取得し、その外資比率が通常20%を超える企業で、一般に次の三者を総称して外資系企業という。第一は、外国法人または外国人が資本金の全額を出資して日本国内に設立した企業で、これを純外資会社という。第二は、日本企業ないし日本人が外国法人または外国人と共同出資で日本国内に設立した企業であり、これを合弁会社という。これは出資比率により、日本資本優位型と外国資本優位型に分けられる。第三は、外国企業が、既存の日本企業の株式ないし持分(もちぶん)を取得した場合で、このようになった企業を外資導入会社という。外資導入会社の性格は、外資導入の程度によって大きく異なるから、外資系企業というときには、外資の影響力の大きなもののみをさすのが普通である。
