Application and Acceptance
An offer is a unilateral and definite expression of intent intended to form a contract with specific contents in conjunction with the acceptance of the other party. The expression of intent to form a contract in conjunction with the offer is called acceptance (note that the word acceptance can also mean acknowledgment or agreement to certain facts - Civil Code Article 467, etc.). An offer is made by a specific person, but it is not necessary to indicate who the offeror is (e.g., a vending machine). The other party does not have to be a specific person (offer by advertisement).

申込みとは,相手方の承諾と合致して,特定の内容を有する契約を成立させることを意図してなされる一方的かつ確定的な意思表示である。申込みに応じてこれと合して契約を成立させる意思表示を承諾という(なお,承認という語は,一定の事実の承認・同意を意味する場合もある――民法467条等)。 申込みは特定人によってなされるが,申込者がだれであるか示す必要はない(例えば,自動販売機)。相手方は特定人でなくともよい(広告による申込み)。
