Japanese: 協議約款 - きょうぎやっかん

A clause in a labor agreement that stipulates that an employer must consult with the labor union before taking certain measures based on its rights and authority in certain matters. It is also called a consultation clause. The most common are "personnel consultation clauses" that relate to the hiring, transfer, and dismissal of employees, but there have also been many consultation clauses regarding measures related to management policies, corporate divisions and mergers, business downsizing, factory closures, etc. After World War II, the labor union movement pursued the democratization of management, and this method was embodied in labor agreements, and it seeks to give the labor union a certain degree of involvement and restriction in the rights and authority (commonly known as management rights) that were previously held unilaterally by the employer.

使用者が一定の事項につき自己の権利･権限に基づく一定の措置を行う場合に，あらかじめ労働組合との協議を経るべきことを定めた労働協約上の約定。協議条項ともいう。従業員の採用，異動，解雇にかかわる〈人事協議約款〉が最も多くみられ，経営方針，企業の分合，事業の縮小，工場閉鎖などに伴う措置に関する協議約款も従来より多数存在する。第2次大戦後労働組合運動が経営の民主化を追究したことによって，労働協約上具体化された方式で，従来使用者が一方的に保有していた権利･権限(経営権と俗称された)につき，労働組合の一定の関与･拘束を加えようとするもの。
